Terms of Service

BY ACCESSING OR USING THE SERVICE, YOU (THE "CLIENT") AGREE TO BE BOUND BY THESE TERMS. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A CLINIC, MEDICAL PRACTICE, OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE SERVICE.

THESE TERMS OF SERVICE ("TERMS") GOVERN THE USE OF THE PLATFORM AND SERVICES PROVIDED BY STANDARD INTERACTION INC ("COMPANY"). BY ACCESSING THE PLATFORM, THE CLINIC OR HEALTHCARE PROVIDER ("CLIENT") AGREES TO THESE TERMS.

1. The Service

Standard Interaction Inc provides an AI-powered software-as-a-service platform designed to automate clinical communications, including inbound call handling, patient follow-ups, and automated messaging campaigns (the "Service").

2. HIPAA Compliance & BAA

Business Associate Agreement: Client acknowledges that the Service involves the processing of Protected Health Information ("PHI"). Use of the Service is strictly contingent upon the execution of a Business Associate Agreement (BAA) between Company and Client.

Data Security: Company shall implement administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of PHI as required by HIPAA.

3. AI Performance & Disclaimers

Administrative Tool Only: The Service is an administrative tool. It is not a medical device and does not provide medical advice, diagnosis, or treatment.

No Guarantee of Accuracy: Client acknowledges that the Service utilizes generative artificial intelligence. While Company strives for high accuracy, AI may occasionally produce "hallucinations" or inaccurate information. Client is responsible for the final oversight of all clinical communications and patient actions.

4. Telephone Consumer Protection Act (TCPA) Compliance

Consent: Client represents and warrants that it has obtained "prior express written consent" from patients to receive automated calls and text messages from or on behalf of Client.

Indemnification: Client shall indemnify and hold Company harmless from any claims, fines, or damages arising from a violation of the TCPA resulting from Client's failure to obtain proper patient consent for automated campaigns.

5. Proprietary Rights & Data Use

Ownership: Client owns all patient-specific data. Company owns the Platform, the AI models, and all underlying technology.

Improvement of Models: Client grants Company a non-exclusive, perpetual, irrevocable license to use De-identified Data (as defined by 45 CFR § 164.514) to train, improve, and personalize Company's machine learning models.

6. Limitation of Liability

To the maximum extent permitted by law, Standard Interaction Inc shall not be liable for any indirect, incidental, or consequential damages (including clinical errors or lost profits) arising out of the use of the AI Service. Company's total liability shall not exceed the amounts paid by Client in the twelve (12) months preceding the claim.

7. Modifications to Terms

Standard Interaction Inc reserves the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. For existing Clients, material changes will become effective thirty (30) days after posting. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
